1. Acceptance of Terms

PlanningPowerTools (operated by Intellicat Suite) provides the services described on this site subject to these Terms & Conditions. By accessing the website, installing the Excel add-in, or using the Planning Wizard you confirm that you have read, understood, and agree to be bound by these terms and any referenced policies (Privacy Policy, Refund Policy, Documentation).

2. Service Description

The platform delivers guided JSON modeling, Timefold-powered optimization, and supporting documentation. Typical use cases include task assignment, employee rostering, vehicle routing, maintenance scheduling, and academic timetabling. We may enhance, replace, or discontinue features to improve performance or comply with regulations.

3. Accounts & Security

3.1 Registration

You must provide accurate contact information, maintain an active subscription tier, and keep credentials confidential. You are responsible for actions performed under your account until you notify us of a suspected compromise.

3.2 Security Practices

Enable multi-factor authentication when available, rotate passwords periodically, and only invite trusted collaborators. Immediately contact support@planningpowertools.com if you detect unauthorized access.

4. Acceptable Use

Users agree not to:

• Reverse-engineer, decompile, or attempt to extract source code from PlanningPowerTools.
• Upload malicious scripts, spam, or data you do not have the right to process.
• Circumvent usage limits, pricing tiers, or authentication safeguards.
• Share accounts with third parties or resell the service without written permission.
• Use solver output to violate labor laws, contractual obligations, or privacy regulations.

5. Subscription & Billing

5.1 Billing Cycles

Plans renew automatically at the interval shown during checkout (monthly by default). Upgrades take effect immediately and are prorated. Downgrades or cancellations apply at the end of the current billing period.

5.2 Refunds

A 14-day satisfaction guarantee applies to new subscriptions. Beyond that window, refunds are governed by our Refund Policy. Enterprise contracts follow the terms of the applicable order form.

5.3 Taxes & Price Changes

Prices exclude applicable taxes unless stated otherwise. We may adjust pricing with at least 30 days' notice to the email on file or through in-product notifications.

6. Service Availability & Data Handling

PlanningPowerTools is provided “as is.” While we target high availability, outages or maintenance windows may occur. We are not liable for lost productivity, wages, or other damages resulting from downtime. Keep exports of your JSON models and solver output to avoid disruption.

Your planning data remains under your control. We do not sell customer data or use it for advertising. Additional details are outlined in our Privacy Policy.

7. Intellectual Property

PlanningPowerTools, including the logo, documentation, workflows, and compiled solver bundles, remain the intellectual property of Intellicat Suite or its licensors. You receive a non-transferable license to use the service for your internal business purposes. Feedback you provide may be used to improve the product without obligation.

8. Limitation of Liability

To the fullest extent permitted by law, Intellicat Suite is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of the service. Aggregate liability is limited to fees paid during the three (3) months preceding the event giving rise to the claim.

9. Changes to These Terms

We may update these Terms & Conditions to reflect legal, technical, or business changes. Material updates will be communicated via email or in-app notice. Continued use after the effective date constitutes acceptance.
